Terms of Service

1. Introduction

Welcome to Unbusy. These Terms of Service (“Terms”) are a legal agreement between you and Unbusy LLC (“Unbusy,” “we,” “our,” or “us”), an Iowa limited liability company. These Terms govern your access to and use of:

By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

If you are agreeing to these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.

2. Who the Services Are For

The Unbusy Service is designed for solo and small service-based businesses — auto detailers, landscapers, HVAC technicians, salon and barbershop owners, and similar operators — to handle text-based customer communications, including booking, scheduling, FAQ responses, appointment reminders, review requests, and other operational and marketing communications.

The Services are intended for users located in the United States. We do not currently support international use.

5. SMS Program Terms

Important. This section describes how Unbusy handles text messaging. It applies to two distinct groups: shop owners using the Unbusy Service, and end customers receiving SMS messages from a business using Unbusy. By participating in the SMS program (in either role), you agree to the terms in this section.

5.1 Program Description

Unbusy is an AI-assisted SMS communication tool. When a customer contacts a business that uses Unbusy — by texting the business's published number, by calling and being routed through Unbusy's missed-call response, or by being added to Unbusy by the business owner — Unbusy may send and receive text messages on behalf of that business.

Unbusy uses artificial intelligence to generate responses. The business owner remains responsible for the relationship with their customers and for the content sent on their behalf.

5.2 How Consent Is Obtained

Unbusy and the businesses using the Service obtain consent from end customers through one of the following methods:

1Customer-Initiated Contact

The customer initiates the conversation by texting the business's published phone number or by triggering a missed-call response. The customer's act of texting in constitutes consent to receive operational SMS messages from the business via Unbusy. Unbusy's first reply discloses the program details, message frequency, applicable rates, and opt-out instructions.

2Owner-Initiated Outreach With Confirmation

The business owner enters a customer's phone number into Unbusy — typically after a phone call, in-person interaction, or service request. Unbusy's first message to that customer is an opt-in confirmation that discloses the program details, message frequency, applicable rates, opt-out instructions, and asks the customer to reply YES (or an equivalent affirmative response) to confirm. No additional automated SMS will be sent to that customer until they reply affirmatively. If the customer does not reply within 24 hours, Unbusy sends one polite follow-up. If still no affirmative reply after a further 24-48 hours, Unbusy will permanently stop automated messaging to that customer.

3Web Form Opt-In (Where Available)

Where a participating business operates a website with an opt-in form, customers may consent to SMS messages by submitting the form with an explicit consent checkbox. This method is supported but not actively used by all pilot participants.

In all cases, consent records — including timestamp, method, the consent language presented, and the customer's response — are logged and retained as required by applicable law and carrier regulations.

5.3 Marketing Consent — Separate From Operational Consent

Consent to receive operational SMS messages (Section 5.2) is separate from consent to receive marketing SMS messages.

A customer who has opted in for operational messages will only receive booking, scheduling, reminder, and service-related communications. Marketing messages (review requests, promotions, upsells, etc.) require a separate, additional opt-in.

The marketing opt-in is requested in a dedicated message sent after a completed service. The message asks the customer to reply YES to opt in or NO to skip. The customer's choice does not affect their operational messages — those continue regardless.

If a customer declines marketing or does not respond, Unbusy may re-ask once per 12-month period, and only if there has been a recent service interaction. After two declines or non-responses, Unbusy will not ask again.

5.4 Message Frequency

Message frequency varies based on the customer's interactions with the business and the type of consent provided. Operational messages typically occur in response to a customer-initiated event (call, text, booking, appointment). Marketing messages, where opted in, are sent at most a few times per month.

5.5 Message and Data Rates

Standard message and data rates may apply, depending on the customer's wireless carrier and mobile plan. Unbusy and the participating businesses are not responsible for any carrier charges incurred by the customer.

5.6 Opting Out (STOP)

Customers may opt out of all SMS messages at any time by replying STOP (or UNSUBSCRIBE, CANCEL, END, QUIT) to any message. Upon receiving a STOP request, Unbusy will:

Once a customer opts out, they will not receive automated SMS from that business via Unbusy unless they affirmatively re-opt-in by texting the business directly.

5.7 Getting Help (HELP)

Customers may reply HELP at any time to receive a help message that identifies the business, briefly describes the program, and provides a contact method for further questions. Replying HELP does not change consent status.

5.8 Supported Carriers

Unbusy uses Twilio as its SMS infrastructure provider. Message delivery depends on the customer's wireless carrier. Carriers are not liable for delayed or undelivered messages.

5.9 SMS Data Privacy

Mobile information, including phone numbers and SMS consent records, will not be shared with third parties or affiliates for marketing or promotional purposes. This restriction is unconditional and applies regardless of any other provision in these Terms or our Privacy Policy.

SMS-related data is shared only with subprocessors strictly necessary to deliver the messaging service (e.g., Twilio for transmission) or as required by law. For full details on how we handle data, see our Privacy Policy.

5.10 No Guarantee of Delivery

Unbusy does not guarantee that any specific message will be delivered to the intended recipient. SMS delivery depends on factors outside our control, including carrier networks, customer device status, and recipient settings.

6. Use of the Services by Shop Owners

If you are a business signing up to use Unbusy to communicate with your own customers, the following additional terms apply.

You agree to indemnify and hold harmless Unbusy LLC, its officers, directors, employees, and agents from any claim, demand, liability, damages, or expense (including reasonable attorneys' fees) arising from your use of the Unbusy Service, your violation of these Terms, your violation of any applicable law, or any content sent through Unbusy on your behalf where you have failed to obtain proper consent or have provided incorrect customer information.

6.4 Termination of Shop Owner Access

We may suspend or terminate your access to Unbusy at any time, with or without notice, for any reason, including violation of these Terms, use of Unbusy in a manner that risks Unbusy's reputation or legal standing, repeated complaints from your customers, or non-payment (when paid plans are introduced).

You may terminate your use of Unbusy at any time by contacting us at the email below. Upon termination, your access to Unbusy will end. Consent records and opt-out records will be retained as required by law.

7. Intellectual Property

7.1 Unbusy's Rights

The Services, including all software, content, designs, trademarks, and logos (including the “Unbusy” name and UNBUSY mark, the brand color palette, and any related visual identity), are owned by Unbusy LLC and protected by intellectual property laws.

The Unbusy trademark is registered with the United States Patent and Trademark Office (Serial No. 99744732, Class 042).

You may not copy, modify, distribute, reproduce, or create derivative works based on the Services without our prior written consent, except as permitted by applicable law.

7.2 Your Content

You retain ownership of any content you submit to or through the Services (for example, your business name, services, pricing information, FAQs, and customer data). By submitting content, you grant Unbusy a worldwide, non-exclusive, royalty-free license to use, store, process, and display that content solely for the purpose of providing and improving the Services.

7.3 Feedback

If you provide feedback or suggestions about the Services, you grant Unbusy an unlimited, perpetual, royalty-free right to use that feedback for any purpose, without obligation to you.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

UNBUSY DOES NOT WARRANT THAT:

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UNBUSY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICES, ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, ANY CONTENT OBTAINED FROM THE SERVICES, OR UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF UNBUSY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, UNBUSY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO UNBUSY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on certain damages, so some of the above may not apply to you.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Iowa, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through good-faith negotiation. If the dispute cannot be resolved within 60 days, it shall be submitted to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Iowa, in English. Each party shall bear its own costs unless the arbitrator awards otherwise.

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information without first proceeding to arbitration.

You and Unbusy each waive any right to a jury trial and any right to participate in a class action against the other.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Last Updated” date at the top of these Terms and, where appropriate, by other reasonable means (such as email or a notice on the Site). Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.

12. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Unbusy regarding the Services.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.
